1. Acceptance of Terms

By accessing and using the DineScout platform ("Service"), operated by Survey Scouts LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

DineScout provides a GPS-verified restaurant audit platform that connects restaurant operators with a network of independent contractors ("Scouts") who conduct on-site evaluations and assessments of restaurant locations. The Service includes mobile applications, web dashboards, reporting tools, and related services.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security of your account credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

4. User Responsibilities

When using our Service, you agree to:

Comply with all applicable laws and regulations
Not use the Service for any unlawful or fraudulent purposes
Not interfere with or disrupt the Service or servers
Not attempt to gain unauthorized access to any portion of the Service
Not transmit any viruses, malware, or malicious code
Not harass, abuse, or harm other users of the Service

5. Scout Services

Scouts who provide audit services through our platform are independent contractors, not employees of Survey Scouts LLC. Restaurant operators acknowledge that:

Scouts perform assessments based on guidelines provided through the platform
We do not guarantee specific outcomes or results from scout visits
Scout performance is subject to quality controls and verification processes
Assignment acceptance and completion are subject to scout availability

6. Payment Terms

For restaurant operators using paid services:

Fees are specified in your service agreement or subscription plan
Payment is due according to the billing schedule you selected
All fees are non-refundable unless otherwise specified
We reserve the right to modify pricing with advance notice
Failure to pay may result in suspension or termination of service

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by Survey Scouts LLC and is protected by copyright, trademark, and other intellectual property laws. You may not:

Copy, modify, or distribute our software or content without permission
Reverse engineer or attempt to extract source code from our applications
Use our trademarks or branding without written authorization
Create derivative works based on our Service

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect, use, and protect your information as described in that policy. By using the Service, you consent to such collection and use.

9. Limitation of Liability

To the maximum extent permitted by law, Survey Scouts LLC shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages resulting from scout performance or audit results
Service interruptions, delays, or technical issues
Actions or omissions of third parties, including Scouts

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

Your right to use the Service will immediately cease
You remain responsible for all charges incurred prior to termination
We may delete your account and associated data
Provisions that should survive termination will continue to apply

12. Indemnification

You agree to indemnify and hold harmless Survey Scouts LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Content you submit through the Service

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts located in Florida.

15. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Survey Scouts LLC regarding the Service and supersede all prior agreements and understandings.
